The Contractor shall not be entitled to any additional remuneration connected with the aforementioned works. The Contractor will choose a professional entity to perform these works, with the reservation that the offer to perform these works will be addressed also to the Principal's contractor of the construction and electrical works chosen in the tender procedure of „Construction and electrical works related to the construction of the Postolin wind farm”.

1.1 The subject of the order:

1.2 Other obligations and actions of the Contractor under this order, in particular:

a) performing the subject of the Agreement pursuant to the permits obtained by the Principal,

b) management, securing and marking of the construction site – according to the binding provisions of law,

c) ensuring security for the property within the construction site and the fire protection,

d) taking out the disassembled elements that cannot be used on the construction site to perform the subject of the Agreement as well as to take out all and any waste connected with the Agreement's performance from the construction site and to dispose of them pursuant to the provisions of law,

e) the subject of the Agreement performed must be consistent with the binding provisions of law and the quality standards that are required for the installation of the devices within the territory of Poland; they also must have all the certificates required by the law,

f) accepting the wind resource records of the site and certifing that the wind turbines are appropriate for the site's wind resource records.

g) making a statement on meeting and accepting the conditions stipulated in the Technical Documentation.

h) performance of the subject of the Agreement pursuant to the requirements of law, binding standards, requirements of the environment protection and while maintaining the principles of work and safety,

i) covering the costs connected with transporting the turbines, potential external roads modification and permitting, other transportation costs as well as the costs of all the works and services performed outside the Wind Farm.

1.3 Conditions for performing the works:

a) the Contractor will ensure the accessibility of all the roads leading to the construction site and will obtain the required approvals of the proper external road administrators and will bear all the costs connected with the above,

b) before commencing the works the Contractor should inform the Principal about the planned date of commencing works,

The investment project which is the subject matter of the order benefits from European Union financial aid under measure 9.4. “Generating power from renewable sources” of priority IX, “Environment-friendly energy infrastructure and energy efficiency” of the Operational Program Infrastructure and Environment 2007-2013.

Warunki uczestnictwa
Zdolność do prowadzenia działalności zawodowej:

1. Transcript from the relevant register or certificate of an entry into the register of economic activity should be enclosed with the tender.

2. All documents, statements, certificates and powers of attorney required by the Principal should be submitted along with the tender, if granted, in particular:

a) document certifying that the Contractor is having financial means or credit capacity for at least 80% of the estimated value, e.g. a bank account statement, credit promise,

b) copies of type certified IEC s 61400-22

c) power curve and Ct curve guarantee documents applicable to wind turbines offered by the Contractor,

d) noise emission guarantee document applicable to wind turbines offered by the Contractor.

3. To confirm that the Contractor is not subject to exclusion, the following should be submitted:

a) statement on no reasons to exclude from the order awarding procedure (Appendix No. 4 to ToR)

b) valid transcript from the relevant register (Register of Entrepreneurs of the National Court Register or other applicable register), provided that the separate provisions require an entry to the register to demonstrate no reasons to exclude and for natural persons - relevant statement).

4. As regards the condition of the knowledge and experience, the list of works consisting of delivery, installation and launching of wind plants for wind farms located in European Union, for the total power of at least 1000 MW, with specification of works performed in Poland (Appendix No. 6 to ToR). For the purposes of verifying the list, the Contractor must enclose references issued by his partners, signed by the persons authorized to represent the partners. The references will confirm that the works consisting in the delivery, installation and launching of wind plants were or has been performed properly.

5. List of persons participating in the delivery of the order, in particular responsible for providing the services, quality control or construction works managing, including information on their professional qualifications, experience and education necessary to deliver the order as well as scope of performed activities and information on the basis to dispose these persons (Appendix No. 5 to ToR). The selected Contractor, prior to the conclusion of the Agreement, will be obliged to provide the Principal with the current statement confirming that the construction manager belongs to a relevant Polish professional association. In the case of the construction managers that are not citizens of the Republic of Poland, the Principal will require provision of a decision of a relevant chamber of construction engineers on the recognition of the professional qualifications or a statement on temporary registration on the list of members of construction engineers, in the case of providing cross-border services.

6. Statement that the persons participating in the order delivery hold the required certificates, provided that the legal acts impost such obligation (Appendix No. 7 to ToR).

Sytuacja gospodarcza i finansowa:

1. The Contractors who may bid for this order are those who meet the conditions of stable financial and economic condition.

2. The condition will be deemed fulfilled if the Contractor proves having financial means or credit capacity for at least 80 % of the estimated value.

3. Along with the tender the Contractor should deliver a document certifying that the Contractor is having financial means or credit capacity for at least 80% of the estimated value specified in point III.2, e.g. a bank account statement, credit promise.

Zdolności techniczne i zawodowe:

1. The Contractors authorized to apply for Agreement awarding.

The Contractors who may bid for this order are those who:

a) are not subject to exclusion as defined in Article 24 of the Public procurement law,

b) meet the conditions of holding the certificate for specific type of activity or activities, provided that such obligation is imposed by legislation,

c) meet the condition of knowledge and experience,

d) meet the conditions of holding applicable technical capacity,

e) meet the conditions of the acceptance of the site and acceptance of the Technical Documentation.

2. The entitlements for specific type of activity or activities, provided that such obligation is imposed by legislation.

Compliance assessment for this condition

The condition shall be considered met, if the Contractor submits a relevant statement and information on professional qualifications, experience and education. Compliance assessment for this condition will be performed on compliant/non-compliant basis, based on the required documents and statements enclosed to the tender offer.

3. Knowledge and experience

The condition shall be considered met, if the Contractor proves that over the five years preceding the lapse of the deadline for submitting tenders, and if the period of running business activity is shorter – over that period, performed similar works comprising in delivery, installation and launching of wind turbines for wind farms for the total power of at least 1000 MW in European Union.

In order to prove the compliance with this condition, the Contractor should enclose a list of the works performed to the tender, including the indication of the place of installation, number of the plants installed, duration of the given task. Moreover, the Contractor should provide references in their original copies or copies confirmed for compliance with the original copy by the persons authorized to represent the entities, for the benefit of which the Contractor performed those works.

Moreover, the Contractor must show that his employees meet the conditions of holding the certificate for specific type of activity or activities, provided that such obligation is imposed by legislation.

4. Technical capacity

The condition will be deemed fulfilled if the Contractor proves that the wind turbines offered by the Contractor have the type certificate IEC 61400-22.

5. Acceptance of the site and of the Technical Documentation

The condition will be deemed fulfilled if the Contractor:

a) has visited the site and accepted it,

b) has accepted the Technical Documentation.

The aforementioned shall be confirmed by providing the Principal with the Contractor's statement.

6. Operation and Maintenance

The condition will be deemed fulfilled if the Contractor oblige itself that the Contractor shall provide the Operation and Maintenance services according the following scope:

a) The Operation and Maintenance of the wind turbines during the first 10 (ten) years after the Final Acceptance takes place (full service contract) including:

— All services required for scheduled and unscheduled maintenance. The Contractor shall correct any fault, defects or security risk identified during the routine operational or maintenance activities without any delay after they have been identified in order to fulfill the required guaranties.

— Everyday presence of Contractor's personnel (at least two skilled technicians) on site during working time (8:00 a.m. till 17:00 p.m.).

— Continuous operation and 24 hours a day, 7 days a week monitoring of the wind farm through SCADA system. The Contractor shall completely operate and re-start the turbines.

— The provision of all required components, spare parts, consumables, labour and travel.

— Maintaining a minimum stock of spare parts on site.

— Supply and transport of main components.

— Crane hired, if required.

— Wind turbine switchgears operation.

— The Contractor shall provide real time operational data of the Wind Farm's SCADA to the Principal and shall maintain the SCADA system (24 hours a day, 7 days a week) in order to facilitate the Wind Farm Operation and Maintenance supervision and shall make available the data onward transmission to the Principal.

— Communications through a satellite network 24 hours a day, 7 days a week.

— Detailed and personalized monthly technical reports.

— Providing training course of at least 40 hours for 4 people.

— Attendance of the Contractor's representatives during any audits/visits conducted by local / national authorities or inspectors.

b) The offered by the Contractor annual remuneration for the full Operation and Maintenance services as described above shall not exceed 38 PLN/MWh (net) with a minimum of 160.740 PLN/wind turbine generator/year (net). MWh reflects the total net energy produced by the Wind Farm every year. The annual remuneration shall be adjusted according to the rate of inflation of Harmonised Index of Consumer Prices HICP (Percentage change m/m-12) for all the EU Member States(data published on Eurostat's website epp.eurostat.ec.europa.eu).

c) The payment of the remuneration shall be made within 60 days from the invoicing date. The invoice will be issued every three months according to the net energy produced by the Wind Farm during those three months.

Realizacja zamówienia
Wymagane depozyty i gwarancje:

Good agreement performance guarantee:

In order to secure the proper performance of the Agreement, the Principal requires a good Agreement performance guarantee lodged according to conditions specified in ToR.

Guarantees:

The Contractor will provide the Principal with the following guarantees for the wind plants:

a) product guarantee,

b) Energy-Based Availability, at least 97 %

c) power curve guarantee, at least 97 %

d) noise emission guarantee.

Główne warunki finansowania i ustalenia dotyczące płatności i/lub odniesienie do odpowiednich przepisów regulujących je:

1. The payment shall be made in the form of partial payments based on the invoices issued by the Contractor.

2. The invoices shall be paid by the Principal within 60 days from the day the Principal receives a correctly issued invoice.

3. The payment schedule is specified in ToR.
