1. The Subject of the Contract is advisory regarding the arrangement of debt financing for the CPK company. The Contractor will participate in all activities carried out by the Contracting Authority related to securing debt financing for the construction of CPK Airport. The aim is to secure debt financing, taking into account factors such as: the size of investment expenditures and optimizing the financing structure of the CPK Airport construction project, including aspects such as: the bankability of the Investment, the amount of financing secured, return rates, financing costs, debt servicing capacity, and investment risks. At all stages of work, the Contractor will consider all realistically possible debt instruments, including but not limited to loans, bonds, private debt, vendor financing, as well as potentially available support mechanisms, including but not limited to guarantees from export credit agencies and state guarantees. 2. The Contracting Authority envisages the award of contracts under the option right (Optional contract). The scope of the Optional Contract includes: extension of services under Tasks 1–11 of the Basic Contract by up to 6 months. The Contracting Authority may make use of the Optional Contract under the terms set out in the Draft Agreement. 3. Detailed provisions concerning the description of the subject matter of the contract are to be found in Attachment No. 1 to ToR - DSC.

1. The grounds for exclusion from the procedure are detailed in Chapter V of the ToR. 2. The conditions for participation in the Proceedure are detailed in Chapter VI of the ToR. 3. The list of formal entity- related evidence, documents and declarations required from the Contractor is detailed in Chapter VII of the ToR. 4. Pursuant to art. 117 item 4 of the PPL Act, if not each of the Contractors applying jointly for the award fulfils independently the conditions for participation in the Procedure specified in Chapter VI paragraph 2(4) (technical or professional capacity), then a tender should be accompanied by a statement according to Appendix 5 of the ToR which shows which services are provided by the Contractor fulfilling the above-mentioned conditions. 5. Contractors may apply jointly for the award of the Contract, e.g. in the form of a consortium/civil law partnership. Contractors applying jointly for the award of the Contract must appoint and indicate a Proxy to represent them in the Procedure or to represent them in the Procedure and to conclude the Contract. If a tender of Contractors applying jointly for the award of the Contract is selected as the most favourable one, the Contractor shall, upon the request of the Contracting Authority, submit the contract governing the partnership between Contractors before the Contract is signed. With regard to the conditions concerning education, professional qualifications or experience, Contractors applying jointly for the award of the Contract may rely on the abilities of those Contractors who are to perform the services for the performance of which those abilities are required. In this case, they shall make a declaration in accordance with the provisions of Chapter VII, paragraph 7 of the ToR.

1. The Contracting Authority anticipates awarding contracts, as referred to in Article 388, point 2, letter c of the Public Procurement Law, not exceeding 20% of the total value of the Basic Contract and Optional Contract, involving the execution of similar services or Studies, consistent in terms of subject matter with the Basic Contract and Optional Contract. The conditions for awarding such contracts, i.e., "similar contracts," are specified in the ToR. 2. The Contracting Authority may cancel the Procedure pursuant to Article 257 of the PPL Act. 3. The Contracting Authority does not require the Contractor or subcontractors to employ individuals performing tasks related to the execution of the Agreement under an employment relationship, as referred to in Article 22 § 1 of the Act of June 26, 1974 – the Labor Code. 4. The Contracting Authority does not envisage granting advance payments on account of the remuneration for the performance of the Contract.

1. Contractors, as well as any other entity, if they have or had an interest in winning the Contract and if they have suffered or may suffer damage as a result of an infringement of provisions of the PPL Act by the Contracting Authority, shall be entitled to the legal protection measures provided for in Article 505 et seq. of the PPL Act. Legal remedies against the announcement initiating the Procedure and the ToR shall also be available to organisations on the list referred to in article 469 item 15 of the PPL Act, and the Ombudsman for Small and Medium Enterprises. 2. A Contractor may lodge an appeal against actions incompliant with the provisions of the Act, taken by the Contracting Authority in the procedure, including against draft provisions of the Contract or in the case of the Contracting Authority's failure to take actions that the Contracting Authority was obliged to take under provisions of the PPL Act. 3. The appeal shall be lodged with the President of the National Board of Appeal. 4. The appellant shall submit to the Contracting Authority an appeal lodged in electronic form, or a copy of that appeal if it was lodged in writing before the expiry of the deadline for lodging an appeal in such a way that the Contracting Authority can become acquainted with its contents before the expiry of that deadline. 5. The Contracting Authority shall be deemed to have been able to read the content of the appeal before the expiry of the deadline for lodging an appeal if the communication of the appeal or a copy thereof, as the case may be, was effected by means of electronic communication before the expiry of the deadline for lodging an appeal. 6. The appeal shall be lodged within 10 days of the date of sending information on the Contracting Authority's action constituting the basis for lodging the appeal – if such information was sent by electronic means of communication, or within 15 days – if the information was sent by other means. The appeal against the content of the announcement initiating the Procedure or against the content of the ToR shall be lodged within 10 days from the date of publication of the announcement in the Official Journal of the European Union or publication of the ToR on SmartPZP. 7. The decision of the National Board of Appeal and the decision of the President of the National Board of Appeal referred to in Article 519(1) of the PPL Act may be appealed to the court by the parties and participants in the appeal procedure. The complaint shall be lodged with the District Court in Warsaw – the public procurement court. 9. All other information on the use of legal remedies is contained in Section IX of the PPL Act.
