1. The subject matter of the order are the construction and electrical works regarding the construction of a wind farm composed of 17 wind turbines and its necessary technical infrastructure.2. The estimated value of construction works covered by the project is: PLN 45.260.848 net (in words: forty-five million two hundred sixty thousand eight hundred forty-eight zloty).3. The construction works cover preparing and constructing the technical infrastructure, including: roads, vehicle assembly areas, foundations for seventeen wind power plants, electric power lines together with optical fibre, a 20/110 kV transformer station, cable line with voltage of 110kV relation GPZ Postolin and GPZ Sztum, permanent and temporary roads, arches and montage platforms and other components resulting from the documentation.4. The Orderer will provide the Technical Documentation in electronic form. The Technical Documentation will be provided by the Orderer after submitting by the Contractor the signed agreement on protection of confidential information according to the template that constitutes Appendix 8 to ToR. The Orderer permits sending the scan of the agreement on protection of confidential information signed by the Contractor via email and then delivering in a written form the signed by the Contractor agreement together with the form of tender.5. The investment project is located in the Pomeranian Voivodeship, Sztum commune and Ryjewo commune, within the town of Postolin.6. Detailed description of the order:6.1. The subject matter of this contract is performing complex electrical and construction earthworks within the Wind Farm construction along with the necessary technical infrastructure.6.2. The Contractor shall be obliged to:6.2.1. Construct 17 foundations for wind power stations. Construction of foundations will cover the following:a) performing 17 excavations with embankments,b) stabilizing ground to the required level using e.g. soil cement gravel piles,c) preparing lean concrete,d) installing the rings at which the power station towers are constructed,e) laying steel bar reinforcement,f) form works and pouring concrete along with finishing works,g) insulating the rings and foundations,h) earthing-up the foundations,i) removal of excavated soil,j) submitting as-built documentation and results of 28-day compressive strength of concrete test,k) unloading and assembly of anchoring elements of the wind power station towers in the foundations,l) supply and assembly of supporting system for anchoring elements assembly,m) geodetic setting out of foundations,n) development of geodetic as-built documentation,o) development and submission of as-built documentation.6.2.2. Construct road infrastructure. Construction of road infrastructure shall cover the following:a) constructing access and temporary roads for assembly and erection sites,b) constructing permanent and temporary assembly and erection sites,c) constructing exits from public roads,d) constructing pipe culverts under the roads,e) constructing pipe culverts under the drainage ducts and water courses,f) constructing exit curves,g) reconstruction or modernization of public roads, according to the Technical Documentation,h) necessary drainage of roads,i) geodetic setting out of roads, assembly and erection sites, foundations and cable power line routes,j) geodetic surveillance over construction and assembly works,k) performing geodetic as-built survey of roads and assembly and erections sites,l) disassembly and reconstruction of planned surfaces, storage of humus and recultivation of arable lands in line with best agricultural practices,m) development of geodetic as-built documentation,n) development of as-built documentation.6.2.3. Construct electrical power and telecommunications infrastructure necessary to connect and exploit the Wind Farm, including among others:a) construction and start-up of the complete 110/20kV Wind Farm along with the electrical power station of 50MVA nominal power substation,b) construction of 110kV power cable line and optic fiber line between Sztum Transformer Station and the Wind Farm,c) construction of medium voltage power cable lines and optic fiber lines as well as groundings connecting wind turbines with the electrical power station,d) supply and startup of measuring systems confirming the quantity of produced energy for the purposes of granting property rights to the energy certificates of origin - ‘green certificates' in each one of the turbines,e) construction and startup of telecommunications systems to the Power Distribution Grid Operator, Transmission Network Operator and the Wind Farm owner,f) performance of any other necessary works at the area of the Power Distribution Grid Operator and Transmission Network Operator, necessary to connect and launch the Wind Farm in accordance with specified technical conditions and connection agreement in the scope of works under the Connected Entity's obligations,g) performance of detailed calculations and determine of the devices for reactive power compensation, taking into account the parameters of the MV/LV transformers, MV cable lines, power transformer, 110kV cable line and wind turbines (its control possibilities) selected by the Employer. For this purpose the Contractor should considered the provisions of the Operation and Maintenance Manual Transmission Network (IRiESD) and the Operation and Maintenance of the Distribution Network (IRiESP).The detailed scope and method of compensation will be determined after selecting of wind turbines supplier. Maximum regulatory capabilities of wind turbines will also determine after selecting the turbines,h) performance of grounding system of tower and foundations of wind power stations,i) geodetic setting out of power cable lines route and of the other necessary electrical infrastructure elements of the Wind Farm,j) development of as-built geodetic documentation,k) development of as-built documentation,l) development of the documentation to legalize the infrastructure and URE application.6.2.4. Launching of the Wind Farm in line with the requirement specified in the IRiESD and IRiESP instructions, technical conditions of the connection and connection agreement. Participating in test runs and launching of the individual wind turbines in the area of electrical power and telecommunications networks as well as Control and Surveillance Systems. Participating in test runs and launching of Electrical Power Safety Automation systems. Performing all necessary tests and measurements required by the legislation and standards, in line with technical specifications and indispensable to obtain the use permit.6.2.5. Development and agreeing the scope of acceptance tests of the Postolin Wind Farm in a form of an appendix to the distribution agreement.6.2.6. Carrying-out trainings for the Employer's staff in the scope of installed equipment.6.2.7. Exploitation of electrical power infrastructure and necessary cooperation with the turbines operator and supplier from the feeding voltage date up to three months starting from the final acceptance.7. Other obligations and actions of the Contractor under this order.a) Performing works according to the Construction Law requirements, provisions and standards in force and the rules of the art of construction, environmental protection requirements, OSH, design documentation enclosed with the ToR.b) Conducting all the necessary tests and measurements, including:— tests of subgrade compaction,— essential tests of mineral and bituminous masses,— tests of concrete,— quality checks of cable (tests of partial discharges) “on the drum” and after laying it out,— continuity tests of the cable's conductors,— tests of the cable's insulation,— voltage tests of the cable,— measurements of resistance to earth on both ends of the cable,— tests of resistance to earth,— tests of secondary circuits,— voltage tests of MV switching stations,— and other tests required by the investor's supervising inspector.The Contractor is obligated to agree the date, scope and type of conducted tests and measurements with the Orderer at least two days prior to commencing them. The current supervising inspector appointed by the Orderer should be present during the tests.c) Proper management, securing and signage of the construction site – according to the Construction Law requirements,d) Preparing proper and provided for by the Construction Law plans, information and notices concerning operational safety and health protection,e) Notifying land owners in writing and against confirmation of receipt about the date of commencing the construction works in 3 weeks advance,f) Proper organisation, preparation of the traffic organisation plan together with preparation of signage,g) Obtaining the necessary the right of way decisions,h) Advance proper reporting and removal of any waste, materials that cannot be used at the construction site and their disposal according to the relevant provisions in force, including in particular environmental protection provisions,i) Providing the Orderer with a complete set of all the necessary attestations, certificates (including calibration certificates for measuring transformers and calibration certificates for the wattles-power meter) and certificates for the built-in construction materials and tests, including those described in point III.5.2.2 and point III.6 letter b) of the ToR,j) Preparing and delivering to the Orderer the as-built geodetic map in paper form accepted into the national geodetic and cartographic resources, additionally the Contractor will deliver to the Orderer the basic trig data containing the as-built map in the form of a digital record in dwg format,k) Protection of the existing trees not intended for removal during the investment project's implementation,l) Fulfilling the conditions specified by the decision about environmental constraints decision no. Oś – I – 7624/5/6/08 dated 22 August 2008,m) Performing the entirety of the works (before signing the final acceptance protocol) with the construction site manager's assurance.8. Conditions for performing the works.a) The Contractor will ensure the accessibility of all the internal roads leading to the construction site made available and will obtain the required approvals of the proper road administrators according to the project.b) Before commencing the works the Contractor should inform the Orderer about the date of commencing works.c) The Contractor will complete the subject matter of the Agreement with his own materials, with the exception of the foundation arbour, which will be provided by the Orderer.d) The Contractor is obligated to cooperate on the construction site with the provider of wind power plants in respect of assembling the wind power plants and putting them into operation. For this purpose the Contractor, by itself or through a translator, should be able to communicate (in an oral and in a written form) on technical matters in the following languages: Polish and English or Polish and Spanish. If the Contractor uses the services of the translator, the Contractor shall bear the costs related to these services.e) The Contractor is obligated to provide the Orderer with documents concerning the method of waste management, as a condition for conducting the final acceptance of the fulfilled order.f) After completing the subject matter of the order the Contractor is obligated to clear the construction site and repair any roads and assembly areas that were damaged by the Contractor due to implementing the investment project or due to other Contractor's actions.g) The Contractor will assure that all works will comply with conditions specified in all decisions and permits granted to the Orderer.h) The Contractor may commission the performance of the part of the order to the subcontractor (“Subcontractor I”). The Subcontractor I may commission the performance of the part of the order to the chosen subcontractor (“Subcontractor II”). The Subcontractor II must not commission performance of the part of the order to another subcontractor.i) The Contractor is responsible to the Orderer for the proper performance of works including performance of works commissioned to third parties.

1. The Orderer reserves the right to cancel the procedure for awarding the order at any of its stages, without any reason and without incurring any penalty.

2. The Orderer will provide the technical documentation in electronic form. The technical documentation will be provided by the Orderer after submitting by the Contractor the signed agreement on protection of confidential information.
